Terms of Service between TCMNET.COM & PACIFICNAT.COM Company Profile MERCHANT WEB SITE DESIGN AND HOSTING AGREEMENT This Agreement (herein and after referred to as Agreement) is entered into and made this day in the year 2000 by and between TCM Inc. (party of the first part) and (**your name**) (party of the second part). This Agreement is binding upon and accruing to the parties, their successors, assigns and all representatives. This Agreement shall be non-cancelable for ONE-YEAR (1) from the date of this agreement. This Agreement shall be automatically renewed for a one-year period on each anniversary date, unless terminated by either party giving the other party (30) thirty day's prior written notice. Tcmnet.com reserve the right to terminate this agreement, in its sole and absolute discretion at any time without cause, as they deem fit. Party of the second part entered into this Agreement personally and by any listed company, partnership, corporation or any other listed entity. Party of the second part, in consideration of tcmnet.com entering into this Agreement hereby unconditionally guarantees full compliance and adherence to all statements and provisions contained herein. WITNESSETH: In consideration of the mutual covenants and agreements to be kept and performed on the part of said parties hereto, subject to said performance, respectively as herein stated, the said party of the first part does hereby covenant and agrees it shall: I Establish your account and create a standard one page web site AT NO ADDITIONAL CHARGE displaying information pertaining to the party of the second part, residing in the first party's domain and subject to approval by the party of the first part. II Host a standard one page web site displaying information pertaining to the party of the second part, residing in the first party's domain and subject to approval by the party of the first part. III Maintain said domain and web site during the term of this agreement. IN CONSIDERATION of the mutual covenants and agreements to be kept and performed on the part of said parties hereto, respectively as herein stated, the said party of the second part does hereby covenant and agrees it shall: I Be liable and pay for the monthly charge of $ 49.00 and any additional charges incurred. II Be liable for charges related to web design for a non-standard page or pages, if requested, at a rate of $ 50.00 per hour. Non-standard sites require an additional annual registration fee of $ 120.00. All fees related to non-standard web design must be paid before the site goes live on the World Wide Web. This section is independent of (I) above and does not change in any way that section. The laws of the state of Washington shall govern This Agreement. All suits and actions hereunder shall be instituted in the Washington courts, King County or in the United Sates District Court representing the Seattle area of Washington and in no other venue or jurisdiction. PARTY OF THE SECOND PART SUBMITS TO THE ABOVE LISTED JURISDICTION AND VENUE. Authorization of Automatic Withdrawal of Payments
